Terms of Service

These Terms of Service (the "Terms") define the conditions under which Spheres (the "Company") provides services on this website (the "Service"). All registered users (each, a "User") must comply with these Terms when using the Service.
Article 1 (Application)
- These Terms apply to all legal and contractual relationships between the User and the Company regarding the use of the Service.
- In addition to these Terms, the Company may formulate specific guidelines, operating procedures, and additional rules ("Individual Provisions") for the Service. Regardless of their formal designations, such Individual Provisions constitute a part of these Terms.
- In the event of any conflict between the clauses of these Terms and any Individual Provisions, the stipulations of the Individual Provisions shall govern unless expressly provided otherwise.
Article 2 (User Registration)
- Prospective users complete account registration by accepting these Terms, submitting an application through the workflow designated by the Company, and receiving an acceptance confirmation issued by the Company.
- The Company reserves the right to reject an application for registration without any obligation to disclose the grounds thereof if the applicant:
- Provided untruthful, inaccurate, or incomplete information upon application;
- Has previously committed a breach of these Terms; or
- Is otherwise judged by the Company to be inappropriate for enrollment.
Article 3 (Management of Email Address and Password)
- Users shall maintain and manage their account email address and password for the Service with reasonable care and under their own responsibility.
- Under no circumstance may a User transfer, lend, assign, or share their email address and password with any third party. If a login occurs matching registered credential records, the Company will treat all corresponding activity as having been performed by the account holder.
- Except in situations involving willful misconduct or gross negligence by the Company, the Company accepts no liability for damages or losses arising from third-party access to a User's login credentials.
Article 4 (Fees and Payment Methods)
- In consideration for paid features of the Service, the User shall pay the usage fees established by the Company and posted on this website through the payment mechanisms specified by the Company.
Article 5 (Prohibited Conduct)
Users shall not participate in any of the following activities when using the Service:
- Conduct that breaches statutory laws, governmental regulations, or public policy and decency;
- Actions linked to criminal behavior;
- Compromising, disabling, overloading, or interfering with servers or computer networks maintained by the Company, other users, or third parties;
- Actions likely to disrupt or impede the operations of the Company's services;
- Harvesting, gathering, or compiling private or personal information regarding fellow users;
- Attempting or carrying out unauthorized system entry or intrusion;
- Impersonating another person or entity;
- Providing financial or logistical contributions, directly or indirectly, to organized crime or antisocial organizations in connection with the Company's business;
- Infringing upon the intellectual property, image rights, personal privacy, reputation, or other legitimate interests of the Company, fellow users, or third parties;
- Posting, uploading, or transmitting content containing, or deemed by the Company to contain:
- Excessively violent or graphic imagery;
- Obscene, pornographic, or sexually explicit content;
- Remarks promoting discrimination on grounds of race, nationality, religious conviction, sex, social rank, or ancestry;
- Text or graphics inciting, promoting, or glorifying suicide, self-inflicted injuries, or narcotics abuse;
- Antisocial, harassing, or objectionable material that causes discomfort to others;
- Undertaking actions aimed at, or viewed by the Company as targeted toward:
- Lewd behavior, solicitation, or sexual acts;
- Initiating romantic encounters or meetups with unknown individuals;
- Stalking, defaming, or harassing other users;
- Causing economic detriment, disadvantage, or emotional annoyance to the Company, other users, or third parties;
- Utilizing the Service for aims divergent from its intended purpose;
- Missionary work, proselytization, or solicitation for religious entities;
- Any other activities deemed improper or impermissible by the Company.
Article 6 (Suspension of the Service)
- The Company may pause, interrupt, or suspend the operation of all or part of the Service without prior notice to Users under any of the following events:
- Routine or urgent maintenance inspections or upgrades to the hardware and software systems supporting the Service;
- Unavailability of the Service due to force majeure occurrences, including earthquakes, lightning, fires, blackouts, or natural disasters;
- Accidental shutdown or breakdown of computer servers, communication links, or network infrastructure;
- Other circumstances where the Company assesses that service delivery has become unfeasible.
- The Company assumes no legal liability for any detriment, damage, or loss incurred by Users or third parties as a consequence of the suspension or downtime of the Service.
Article 7 (Copyright)
- Users may post or upload content (such as text, graphics, and video) to the Service only if they possess valid intellectual property rights in such materials or have acquired the appropriate approvals from the respective copyright owners.
- The copyright in content submitted or uploaded to the Service by a User remains vested in that User or existing titleholders. Nevertheless, the User grants the Company a non-exclusive license to utilize such posted content without royalty within the scope necessary for service improvement, quality enhancement, bug correction, and public relations or promotion, and agrees not to enforce moral rights of authorship against the Company.
- Except as provided in the preceding paragraph, all intellectual property rights and copyrights associated with the Service and its proprietary data belong exclusively to the Company or licensors who have granted permissions to the Company. Users must not copy, transfer, loan, translate, modify, republish, broadcast, distribute, publish, or commercially exploit such assets without prior authorization.
Article 8 (Restrictions on Use and Account Cancellation)
- Without prior notice, the Company may delete uploaded data, restrict access to part or all of the Service, or terminate user registration if a User:
- Violates any term or condition of these Terms;
- Has provided false or deceptive records in their registration;
- Experiences card suspension, cancellation, or charge failure on the payment card registered for billing;
- Defaults on payment commitments or fails to settle incurred service charges;
- Fails to answer inquiries or communications from the Company within a reasonable duration;
- Remains inactive on the Service for an extended period of time; or
- Is deemed by the Company to be unsuitable to continue using the Service.
- Upon the occurrence of any item above, the User immediately forfeits the benefit of time regarding all liabilities owed to the Company and must promptly settle all outstanding debts in a single lump-sum payment.
- The Company shall not be held liable for any loss or damage incurred by the User as a result of actions implemented pursuant to this Article.
Article 9 (Disclaimer of Warranties and Limitation of Liability)
- The Company makes no warranty, express or implied, that the Service is free of operational, functional, or legal defects (including security flaws, system bugs, software errors, inaccuracies, omissions, fitness for a particular purpose, or non-infringement of third-party rights).
- The Company shall not be liable for any damages sustained by Users arising from or related to the Service. However, this disclaimer does not apply if the agreement between the Company and the User constitutes a consumer contract as defined under the Consumer Contract Act of Japan.
- Even when the proviso of the preceding paragraph applies, the Company will not be held responsible for indirect, special, punitive, or consequential damages (including matters that were foreseen or foreseeable by either party) caused by the Company's ordinary negligence in breach of contract or tort. In such cases, the compensation owed by the Company for ordinary negligence will not exceed the aggregate fees received from that User during the calendar month in which the harm occurred.
- The Company disclaims all responsibility for any communication, dispute, or transaction occurring between Users, or between a User and a third party, regarding the Service.
Article 10 (Modifications to the Service)
The Company reserves the right to alter features of the Service or cease providing the Service without prior announcement to Users, and bears no responsibility for any losses resulting from such alterations or termination.
Article 11 (Amendments to the Terms)
The Company may update or amend these Terms at its sole discretion whenever deemed necessary, without prior notice to Users. A User who continues to access or utilize the Service following an amendment will be deemed to have consented to the revised Terms.
Article 12 (Handling of Personal Information)
Personal information collected through the operation of the Service will be handled in accordance with the Company's Privacy Policy.
Article 13 (Notifications and Communications)
Communications and notices between Users and the Company must be transmitted via channels designated by the Company. Unless a User formally files an update in accordance with the Company's designated notification procedure, the Company will consider the currently registered contact details to be valid, and notices delivered there will be deemed received by the User upon dispatch.
Article 14 (Prohibition of Assignment)
Users may not transfer, assign, pledge, or encumber their contractual status, rights, or duties under these Terms to any third party without prior written authorization from the Company.
Article 15 (Governing Law and Jurisdiction)
- The validity, construction, and performance of these Terms are governed exclusively by the laws of Japan.
- In the event of any legal dispute arising from or related to the Service, the court having territorial jurisdiction over the location of the Company's principal office shall serve as the exclusive agreed court of first instance.
